ABSTRACT

As was discussed in Chapter 21, companies in the Commonwealth Caribbean, except in Belize, have the same borrowing powers as an individual. One specific form of corporate borrowing which is commonly used by companies is borrowing by means of the issue of debentures. Where this form of borrowing is used, it is usual for debentures which are intended to be widely held to be issued under a trust deed. It is for this reason that the Companies Acts in the Commonwealth Caribbean contain provisions on this form of borrowing.
