ABSTRACT
INTRODUCTION The material contained in this chapter is highly likely to form at least one question on any company law examination paper, particularly in light of the changes introduced under the Companies Act 2006. The implementation of these changes is, however, complicated by the variation in commencement dates. We begin by looking at the law surrounding the removal of directors before going on to examine the topic of directors’ duties. Lastly, the main points in relation to the company secretary and auditors are noted.
