An agreement will lack certainty either because it is too vague or because it is obviously incomplete.
The reason that there will be no contract between the parties goes back to the underlying principle that a contract is an agreement between the parties: if the agreement is vague or is not complete how can the parties say they have agreed? What have they agreed upon?
