ABSTRACT
Corporate law – at least in the USA – is often discussed but rarely understood, in part because corporate law is not federal law with no agency actively enforcing it. Securities law is better understood, in part because it is a federal law actively enforced by a government agency. The provisions of corporate law can be divided into two large topics.
