ABSTRACT

Codes of conduct are a separate layer of governance that does not lend itself to working in conjunction with a collective agreement. Codes exist only in the absence of collective agreements. Collective agreements exist between management and union members to protect the rights of both parties as management is allowed to grieve using the grievance process, although it is rarely used in that manner. Codes exist where there is no union and allows for the governance void to be filled by having a place for workers to exist and thrive. With the degradation of state-centred governance models, the move towards private regulation in the form of corporate regulation may be growing. The corporation allows for its own reformation from within through the proposal mechanism. This allows for shareholder democracy to thrive. This also shows that the corporation is willing to be shaped on certain issues. Shareholder proposals and codes of conduct can be linked.
