ABSTRACT

This chapter describes a theory that the collective agreement can act as a certification scheme so that the changes in standard union contracts does interact/intersect with certification schemes. Holding multiple fiduciary duties seems to be a paradox; however, in Europe there are multi-stakeholder agreements that demonstrate that this can be accomplished. The Supreme Court of Canada introduces the notion of the 'good corporate citizen' and the notion that corporations are citizens and enjoy the rights of citizens accordingly. People working with and for the Good Samaritan Corporation could be bound by a code of conduct to ensure that they are acting ethically at all times. For some aspects of being governed, the corporation has strict legal obligations that it must comply with, while other governance mechanisms may be more variable and open to input from the very stakeholders who are impacted.
