ABSTRACT
The Company Law Review Group sought to draw out the basis on which criminal liability for a breach of Companies Acts requirements was allocated under the CA 1985 to companies and to officers of companies. They stated in their Final Report that a reformed Companies Act must be underpinned by effective and proportionate sanctions and enforcement.
