ABSTRACT
Under s 211 of the Insolvency Act 1986, any past or present officer, including a shadow director, of a company in liquidation will commit an offence if he or she makes, or has made prior to the winding up, any false representation or commits any other fraud for the purpose of obtaining the consent of the company’s creditors to an agreement with reference to the company’s affairs or to the winding up.
