ABSTRACT

Re Dorman Long (1934) Dorman Long & Co Ltd reached a provisional agreement with the South Durham Steel and Iron Company Ltd that it should acquire South Durham’s business assets and undertaking. Each company prepared a scheme of arrangement between it, its debenture-holders and its shareholders in order to sanction the acquisition. The court’s approval to the schemes was sought under the then forerunner of s 425 of the CA 1985.
