ABSTRACT

The actual content of any particular contract depends on the statements made by the contracting parties as they entered into their agreement. Those words make up the express terms of the contract between them. A contract may in addition contain terms which while not expressly stated are implied, either because the parties so intended, or by custom or usage of the operation of the law. All the terms of a contract whether express or implied, determine the extent of each party’s rights and duties under the contract.
