The effect of general incorporation clauses If a general incorporation clause is used, for example, ‘incorporating all terms and conditions of the charter dated …’, only those primary clauses germane to the actual carriage of the goods will be incorporated.11 Arbitration clauses will not be incorporated into the bill of lading unless specifically incorporated.12 Alternatively, they will be incorporated if the wording of the charterparty arbitration clause expressly refers to disputes under the bill of lading.13
