ABSTRACT

By contrast, a company may not commence business until it has received a certificate of incorporation from the Registrar of Companies. This may only be obtained on registration of a Memorandum of Articles (setting out basic information about the company), Articles of Association (containing detailed information about how the company will be run), Form 10 (stating the first directors and company secretary), Form 12 (statutory declaration of compliance with the Companies Act 1985) and the fee (currently £20). The documents should be sent to the Registrar at the Companies House in the part of the United Kingdom in which the company is to have its registered office (as set out in the table below).
