1 Allotment of shares Section 80 Companies Act 1985 states that directors only have power to issue shares if they have the authority under the company’s articles of association, or by a resolution of the general meeting. In either case, the authority to issue shares can only be for a maximum period of five years, unless the company has passed an elective resolution under s 80A Companies Act 1985, as amended. If the company has passed an elective resolution, directors can issue

shares for an indefinite period or for a fixed period greater than five years.
