Case study: drafting a debenture and personal guarantee Sentry Ltd (‘the Company’) was established five years ago by its present directors and shareholders, Arthur Sentry, Mollie Sentry and Dot Snook. All are equal shareholders in the Company. Dot Snook is the Company’s Chairman, but she does not have a casting vote, as the Company has specifically deleted references to a casting vote under its articles of association.
