Note: Copies of the special or extraordinary resolution must be delivered to the Registrar of Companies within 15 days from the date of passing the resolution.
26.3 Notice of resolution to wind up Within 14 days of the company passing a resolution to wind up voluntarily, it must give notice of the resolution by advertisement in the Gazette. Failure to give notice renders the company and every officer of it who is in default liable to a fine and to a daily default fine for continued contravention. An ‘officer’ in this case also includes the company’s liquidator.
