ABSTRACT

The sales contract is thus decisive not only for the relation between the seller and the buyer but also for a number of ancillary relations: it sets out rules for price and payment, affecting payment methods. It explains the basic rules of liability for cargo under a bill of lading, which is the document on which cargo receivers usually found their claim. The contractual relations thus differ, and there is need for co-ordination between them and the obligations and rights, respectively, of the various parties involved in the different transactions: the sales contract, the contract of carriage, the insurance agreement and the payment/financing arrangement. Most legal systems contain legislation dealing with sales of goods or provisions concerning the relationship between seller and buyer, although in practice the parties normally regulate their relationship by agreement. The sales contract contains the framework of the subsequent contracts, the agreements on financing, insurance and transport.
