ABSTRACT

This chapter examines distinct features of knowledge transfer between propertizable and non-propertizable knowledge and within the latter between transfer of explicit and tacit knowledge. It explains the value of knowledge in contractual networks is higher than its corresponding value in market exchanges. The role of systems that foster the circulation of knowledge within the network, while limiting it outside the network, may increase the efficiency of the network as an organizational system for the transfer of knowledge. The chapter focuses on many purposes that contracts may serve when dealing with knowledge distinguishing between production and transfer. It illustrates devices that may be used by contractual parties to transfer knowledge. The chapter focuses on the transfer of knowledge in contracts for the production and distribution of goods and services. It discusses the transfer of knowledge in inter-firm networks. The chapter examines up to what extent knowledge transferred contractually may be protected by the law on unfair competition and by contract law.
