chapter  7
The Prospects for Corporate Constitutionalism
Pages 12

Having spent the previous three Chapters exploring particular aspects of a constitutional perspective on corporate law and governance, it is useful to conclude by returning to the bigger picture that I described in Chapter 1 and spelled out in more detail in Chapter 3. In this final Chapter I re-visit the ways in which the principles of accountability, deliberation and contestability work together within a framework of corporate constitutionalism. I then look at where this might take us in approaching questions of corporate governance. I offer some suggestions about how corporate constitutionalism might allow us to move beyond the strict parameters of the shareholder primacy model, at least as it operates in large public corporations.
