ABSTRACT

The Technical Services Agreement (TSA) incorporate into the body of the hotel management agreement, or a separate document through which manager delivers its brand supervision services during the design plan preparation and construction or refurbishment stage. The general structure of an agreement includes both technical services and pre-opening services. Pre-Opening Marketing involves assisting in the development of a marketing plan, includes a promotional plan for the sale of rooms and food and beverage services, public relations and communications activities. Review Services reviews provision of comments to owner on interior design concepts, interior design documents and materials developed by the interior designer. Owner and consultant work together to reach agreement on the pre-opening budget. The TSA establishes a procedure for owner's approval of the pre-opening budget. The TSA includes indemnification provisions similar to the hotel management agreement. Consultant's compensation under the TSA is separate and apart from manager's compensation under the hotel management agreement.
