ABSTRACT

This chapter discusses initiatives that might improve the quality of stewardship and engagement and organizes around four themes. It also focuses more generally on the wider issue of shareholder engagement with their investee companies and questions investors' participation in broader terms. In terms of operation, institutional investment operates under a selection of legal structures, primarily trust law and corporate law. It studies the changing face of stewardship and considers the matter of investors' activism and examine their role, responsibilities and powers as well as their rights in UK corporate governance. Myners believes that he can take much of the credit for the current UK stewardship code himself, as he is the one who first talked about the importance of shareholder engagement and activism. Finally, this chapter considers the need to enhance peoples understanding of behavioral sciences; more research into this field can help the regulator improve the design of shareholder stewardship.
