ABSTRACT

Before starting any business activity, a corporate business entity has to pass so-called preparatory procedures. First, the company makes a decision about using a corporate seal. These days it is not legally binding. Second, the corporate business entity opens a bank account. Proper functioning of a corporate business entity is impossible without a current bank account. Third, legal entities shall notify the duly authorized public control (supervisory) authorities that they are starting certain types of entrepreneurial activities. When deciding on the type of entrepreneurial activity for the corporate business entity, it is necessary to take into account regulatory restrictions established by Russian entrepreneurial laws. According to the general rule, corporate business entities may undertake any activities that are not overtly prohibited by law, but the Russian laws may restrict the right of some commercial organizations to perform certain activities. Furthermore, a corporate business entity may undertake certain activities only by virtue of a special permission (license), membership in a self-regulatory organization, or a certificate authorizing permission.
