ABSTRACT

The corporate governance plays a key role in promoting the interests of the stakeholders and to establish the relationships among these stakeholders. The occurrence of mergers and acquisitions (M&As) are usually treated as a governance strategy to replace the inefficient management, which will bring more efficient operation of the firm, which is more important in the case of hostile deals. The integration issues can be broadly classified into those related to human resource, cultural integration and the integration of physical assets. Integration issues related to manufacturing and marketing raises mainly because of the product profile of the bidder and target. W. JianHua discussed different areas of financial integration. The financial management system should take the entire group's benefits and the strategic plan after M&As. Its content of integration includes the integration of investment system, financing system, distribution system, credit management system, financial risk management system and so on.
