Ultimately, the only security a start-up company has in this matter is to ensure that the company has the ability to attain revenue and a cash-flow positive state regardless of the acquirer’s

behavior. To be able to achieve this a company must be able to “materially” enter and access the sales channel. Please note that the word materially is in quotes. This is meant to point out that the company must be able to enter the sales channel and obtain a relevant market share over time.
