ABSTRACT
In addition to the memorandum of association, before a company can be registered, the company’s promoters must also submit to the registrar the company’s articles of association. These articles of association, as has been noted, are sometimes known as the internal constitution of the company. They cover such matters as the holding of meetings, the appointment of directors, declaration of dividends, and the appointment of the company secretary.
