ABSTRACT
The present law relating to insider dealing is contained in Part V of the Criminal Justice Act 1993. This Act replaced the Company Securities (Insider Dealing) Act 1985, which itself replaced the relevant provisions of the Companies Act 1980. The 1993 Act made substantial changes to the 1985 Act provisions, since they had proved to be difficult to operate in practice when it came to obtaining prosecutions; there was also a need to broaden the scope of the offences to comply with the requirements of the Insider Dealing Directive.1
