ABSTRACT
This is the document which gives basic information about the company to the outside world. The memorandum must be signed by each subscriber in the presence of a witness. Table B of the 1985 Companies Act provides a model memorandum for a private company limited by shares; Table F gives a model memorandum for a public company limited by shares. The contents of the memorandum are prescribed by s 2 of the Companies Act 1985. It must contain the following.
