In Salomon itself, agency, in the sense that the company was the agent of the shareholder, had been rejected by the House of Lords. See also Adams v Cape Industries plc (1990) on this point.

In Smith, Stone and Knight Ltd v Birmingham Corp (1939), Atkinson J lifted the veil to enable a subsidiary company operating business on land owned by the holding company to claim compensation on the ground of agency.
