ABSTRACT
It is a certificate given by appropriate signatories of the issuer confirming that:
there has been no change, development or event that renders any of the
warranties untrue or incorrect and that the issuer is not in any material breach
of its obligations under the subscription agreement, and
the issuer has satisfied and performed all obligations, prior to payment.
