Exclusion and limitation clauses are express terms that are negative in effect in as much as they usually protect a contractor from all or part of a claim for damages. A contractual clause can, however, be positive in effect: it can put one contractor under a liability to pay a specific sum of money to the other party on the happening of some event.110
