Lawyers play an important part in the governance of virtually all sizable organizations, whether as in-house counsel or independent individuals (or firms) under contract. It would be comforting to believe that the norms of the legal profession impose ethical constraints on organizational behavior, but it would also be naive. Lawyers today often fail to counsel ethical conduct in their clients and, worse, violate ethical norms and professional canons themselves.
