ABSTRACT

Contract negotiation is an important and critical element in dealing with suppliers. It is part of the procurement process. There is little point in including an incomplete or poorly drafted contract in the request for proposal (RFP) stage, or introducing it into the negotiation process. It is the contract that formalizes the intent and agreement of the parties and must therefore accurately document all the terms and conditions. The contract must be enforceable in court. It must also reflect the understanding and expectations of both parties.
