ABSTRACT

In this chapter, the author poses the following questions: how the voters should vote, what is the optimal size of directorial council (DC) and what is the optimal DC membership. To find answers to these questions, he constructs a game theoretic model and propose an approach leading to a Nash equilibrium in a specially constructed multistage game with complete information. In this case the change of the strategy by player does not change the minimal admissible coalition and the DC. From the theorem it follows that for different minimal admissible coalitions we get different Nash equilibria. The model will allow the minimal admissible coalition to be formed dynamically. The chapter describes two ways of forming the DC representing a minimal admissible coalition. In this situation, the main point is again identifying a minimal admissible coalition that advises its employees to vote for the planned DC.
