ABSTRACT

As the foregoing demonstrates, contemporary corporate shortcomings may be viewed from a range of perspectives and, not surprisingly, opinion varies on how best to achieve improvement. This chapter presents simple list of the more significant problems, together with some personal judgments and possible solutions. The following list starts with those problem elements that can be specified most precisely and it ends with those that are most diffuse and difficult to specify with precision. In deepening order of breadth and complexity, these are: technical issues; accounting rules and principles; auditor responsibility and accountability; board responsibility and accountability regulatory issues; professional conflicts of interest and corporate transparency; regulatory institutions and prudential responsibility; the role played by sectional interest, influence, and politics cultural issues. It is also include the overall quality of corporate governance; and corporate ethics, honesty, and the law. The issue requiring the closest attention by business is legal but unethical business behavior.
