ABSTRACT

This chapter deals with the Revised Securities Act and associated laws, the Corporation Code of the Philippines and the Omnibus Investments Code of 1987. In considering the corporations and securities laws of the Philippines, regard must be had to the influences of a variety of enactments which have emerged from the several distinct political periods in the history of the Philippines. The specific provisions with respect to the by-laws of corporations incorporated in the Philippines are found in Sections 46–48 of the Corporation Code. The Securities and Exchange Commission (SEC) enjoys particularly wide judicial powers in the conduct of judicial hearings. The restructured SEC has been further empowered by a number of Commercial and Republic Acts. The powers of the SEC have been affected by a number of other enactments and presidential decrees. The Corporation Code of the Philippines includes specific provisions with respect to particular types of corporation.
