ABSTRACT

This chapter summarises ordinary partnerships. The phrase “ordinary” or “general” partnerships refers to partnerships that are governed by the Partnership Act 1890 and the case law relating to partnerships. Ordinary partnerships are not registered at Companies House and do not have a separate legal personality. This chapter looks at key aspects of partnership law and practice. Ordinary partnerships are very common business forms in the UK, and they are likely to feature strongly in the Business Law and Practice element of SQE1 and SQE2. Partners have considerable flexibility over how their partnerships operate, and they can tailor their partnership agreements to suit themselves. In many respects, the Partnership Act 1890 largely consists of a set of default rules that will apply unless the partners have agreed otherwise.
