ABSTRACT
The obligations of company directors and the rules relating to their legal responsibility are mostly set out in the part of the Civil Code which deals with companies and by the Companies Law which concerns commercial companies. In most companies: limited partnerships, limited liability companies, general partnerships, civil companies and silent partnerships, the director is given the name of manager. The power of directors to represent a company is not however absolute, but is to be exercised within the limits of the company's objects. It is important to set out clearly what the obligations of the company directors are, for a breach of these obligations will not only entail the liability of the director who is in breach but may also justify his dismissal. A director may also find himself subjected to criminal liability where the company has committed an offence. Furthermore, other offences may also be noted that often give rise to criminal liability on the part of directors.
