ABSTRACT

The diversity of governance systems and processes around the world was insightfully acknowledged by Sir Adrian Cadbury. Cyber attacks are pervasive, cutting across all walks of life and society. Such attacks are attempted remotely, sometimes from a place where the actor cannot be disciplined through legal action. Issues of sustainability, both of an entity and the environment in which it thrives, are at the front and center of the governance challenge. Well-connected board members could help the company benefit from their relationship; however, representation on multiple boards splits time and attention at a time when governance becomes a critical matter for the company, its shareholders, and the regulators. The core of corporate governance rests in human behavior, and it is not easy to modify or regulate management, board, or auditor behavior.
