ABSTRACT

Governing bodies (called boards throughout the book) have alternative structures: the all non-executive director board (often found in charities with the chief executive attending meetings but not voting), the majority non-executive director board (required by most corporate governance codes for public-listed companies), the majority executive director board (used by many corporate groups for the subsidiary companies), the all-executive director board (often found in family companies). Directors bring different experience, personality, and skills to the board. Important characteristics include age, gender, education, professional knowledge, personality, experience relevant to the enterprise and board level experience, network contacts, and relationships relevant to the enterprise.
