ABSTRACT

A board’s work includes strategy formulation and policy-making (performance roles focusing on the enterprise’s future in its external environment), as well as executive supervision and accountability (conformance roles focusing on the past and present of the enterprise and its accountability to members and other stakeholders). To achieve results and its purpose, boards must work with and through their executive management. The board chair should ensure a close and harmonious working relationship with the chief executive and other members of the senior management.
