ABSTRACT

The key characteristics of an effective board include its culture, level of commitment, collaboration, confidence, creativity, and the contribution of members. Directors have a right to the information they need to fulfil their responsibilities. Such information should be reliable and credible, understandable, relevant, comprehensive, concise, timely, and cost-effective. The management of meetings, agenda, and minutes are discussed. Board committees, such as the audit committee, the remuneration committee, and the nomination committee are reviewed. Board performance should be assessed regularly, and the processes of board review are discussed.
