ABSTRACT
It is very necessary to have close regulation of limited liability companies. They are treated as having an identity in law separate from their owners and managers, unlike a sole trader or members of a partnership. This continues to cause difficulty, for example, in knowing whom (if anyone) to prosecute for manslaughter following disasters such as rail crashes where lives are lost and where the business is operated by a limited liability company.
