ABSTRACT

All Companies Acts in the Commonwealth Caribbean contain provisions which deal with the incorporation of companies under those Acts. 1 The guiding principle which underlies the approach to incorporation in these Acts is that incorporation is to be regarded as a matter of right, not as a privilege conferred through the exercise of administrative discretion. As a result, incorporators need only meet the requirements stipulated in the Acts to incorporate a company. It is with these requirements that this chapter is concerned.
