ABSTRACT
10.1 This chapter addresses the specific duties of directors and their liabilities under the CA 2006. It considers the provisions of Chapter 3 of Part 10 of the CA 2006 on declaration by directors of interest in existing transaction or arrangement. Chapter 4 of Part 10 of the CA 2006 deals with a company’s transaction with directors requiring approval of members. In particular, it considers directors’ long-term service contracts; substantial property transactions; loans to directors; credit transactions; and related arrangements as well as payment for loss of office. Chapter 5 of Part 10 of the CA 2006 is concerned with directors’ service contracts; and Chapter 6 of Part 10 of the CA 2006 with contracts with sole members who are directors. Chapter 7 of Part 10 of the CA 2006 addresses directors’ liabilities.
