ABSTRACT
15.1 Part 17 of the CA 2006 contains provisions dealing with a company’s share capital. It replaces Part 4 and (in part) Part 5 of the CA 1985, and contains a mixture of new sections which replace corresponding provisions in the CA 1985, and sections that restate corresponding provisions in that Act. Sections 541, 543–544, 547–548, 552–553, 558, 561, 563–568, 570–572, 574– 577, 579–582, 584–588, 590–605, 607–609, 611–616, 645–648, and 655–656 of the CA 2006 restate various provisions in the CA 1985, but do not make any changes to those provisions.
