ABSTRACT
7.1 Part 8 of the CA 2006 is concerned with company members and comprises four Chapters. It sets out a definition of who constitutes a ‘member’ of a company in order to exercise certain statutory rights within the company, as part of the corporate governance process. It also deals with the register of members; overseas branch registers; and prohibition on a subsidiary being a member of its holding company.
