ABSTRACT

This chapter analyses corporate codes of conduct by industry leaders which also employs a rigourous monitoring process in accordance with its code of conduct. It also analyse the empirical research done by scholars on the efficacy of codes once implemented. Codes of conduct operate on a spectrum, as one code can be weak and ineffectual and another can be so strict that it rivals hard law. The chapter examines how corporate law can be used to help increase the rights of workers. It discusses codes as well as suggests amendments to the Canada Business Corporations Act. Changing both hard law and soft law will allow for changes to happen simultaneously, rather than choose to focus on only one option. Both the hard law suggestions plus codes focus on the corporation as a site of power. The work of Professor Richard Locke of MIT in studying the effectiveness of codes is very helpful in this research.
