ABSTRACT

Chapter 6 examines Nigeria’s capital market regulations. It starts by outlining the key principles behind capital market regulations and then briefly reviews the development of regulations in the United States, Europe, the United Kingdom and South Africa. It then examines in detail the regulatory framework for capital markets in Nigeria. In particular, the roles of the Securities and Exchange Commission in regulating activities of investment banking in both the primary and secondary markets are discussed. The issues relating to market integrity, market conduct and corporate governance are emphasized. This chapter also provides an overview of key Nigerian business and financial laws that investment banks and capital operators need to navigate.
