ABSTRACT

This chapter looks at the mechanics of Board meetings, how to achieve the aims set out in the previous chapter. It examines chairing styles (lean-in and lean-back), optimal Board meeting size, the difference between non-executive directors and executive directors, the differing roles of chair and CEO, the importance of deputy chairs/senior independent directors, the importance of preparation for Board meetings, agendas, papers, seating plans and the role of company secretaries. The chapter also discusses the management of conflicts of interest, the independence of company directors and disagreements.
