ABSTRACT

The foundation of a corporate business entity begins with the meeting of its founders. They shall agree on different issues related to the setting up of the corporate business entity; however, special attention ought to be paid to the following aspects: entity's location, fields of activity, structure of management bodies, constituent documents, and company name. In the Russian Federation, as a rule, business activity shall be carried out in the forms envisaged by the law and duly registered. The state registration procedure starts with submitting a documentation package to a registration agency. The legal entity is deemed to be founded and its data included in the United State Register of Legal Entities (USRLE) as of the date when the respective entry is made in it. Russian legislation provides an extensive list of grounds to deny legal entities state registration. Such grounds may be related to a deficiency in the documents per se, errors in registration procedures, unreliable data, etc.
