ABSTRACT

This chapter discusses the prospects of re-tethering large corporations to larger social purposes and what a new regulatory structure would look like. The Great Recession of 2008-09 revealed what is perhaps the most consequential change in the composition of large corporations, the emergence of financial corporations. Given the importance of manufacturing corporations during the years in which regulations, unions, and Corporate Social Responsibility(CSR) were more effective, Apple's success might give reason for hope that manufacturing might lead the way in a revival of the sector. The ability of large corporations to influence elections was given a huge assist by the Supreme Court's Citizens United decision of 2010. The one reform that would arguably have the greatest impact upon containing corporations would be to federalize the incorporation process, thus replacing state charters, at least for corporations that operate in more than one state.
